Whereas Article VIII of the constitution of The Potato Association of America provides for the
creation of sections and further prescribes that each section may develop its own bylaws for the conduct of its affairs provided such bylaws
do not conflict with the constitution and bylaws of The Potato Association of America.
Name
The name of the section shall be the Physiology Section of The Potato Association of America.
Purpose
The primary purpose of the Physiology Section is to promote discussion, exchange and understanding of potato physiological
problems and to encourage research and new approaches to solving these problems. This can be accomplished by organizing and
sponsoring symposia on selected topics, preparing listings of investigators and their current research program objectives, improving
communications between physiologists, plant breeders and pathologists, improving the selection and presentation of research papers at
the annual meetings, and sponsoring discussions on immediate and future research pertaining to potato physiology.
Membership
Membership is open to members of The Potato Association of America.
Officers
The officers of the Section shall be Chair, Vice-Chair, and Secretary elected annually with the Vice-Chair moving up as Chair and
the Secretary moving up as Vice-Chair.
The duties of the Officers shall be those customarily pertaining to these offices.
The Chair shall represent the Section, ex officio, on the Executive Committee of The Potato Association of America.
Executive Committee
The Executive Committee is responsible for managing the affairs of the Section. It shall consist of the Officers of the Section, the
immediate past Chair, and two Directors.
The Executive Committee shall meet at least once a year. Meetings of the Executive Committee may be called at the discretion
of the Chair, or by written request of a majority of the Executive Committee.
The Executive Committee shall have the power to fill any vacancy that occurs between The Potato Association of America Annual
Meetings.
A majority of the Executive Committee shall constitute a quorum.
Election of Executive Committee Members
All positions on the Executive Committee shall be for terms of one year except those of the two Directors which shall be for two
consecutive years, but at the initial election, one director shall be elected for one year and the other for two years.
Nominations for the Executive Committee shall be submitted by a Nominating Committee consisting of three members appointed
by the Chair of the Section. The Nominating Committee shall submit a slate of nominations for the Executive Committee members at the
time of the next Annual Meeting of The Potato Association of America.
Nominations from the floor are acceptable, and in the event that more than one nomination is made for any position, an election by
secret ballot of the members will be held at the Annual Meeting of the Section.
The Executive Committee shall hold office until its successors are elected.
Meetings
An Annual Meeting of the Section shall be held in conjunction with the Annual Meeting of The Potato Association of America and at
such time and place as the Executive Committee may direct. Additional meetings may be called by the Executive Committee at its
discretion.
A quorum at Annual Section meetings shall be those members present at the meeting.
Committees
The Chair or the Executive Committee shall appoint such standing and special committees as may be required to serve the needs
of the Section.
Publications
Minutes of Section meetings shall be recorded, reproduced, and distributed by the Section Secretary to the PAA Executive Committee
for publication in the minutes of The Association Annual Meeting in the American Journal of Potato Research.
Amendment of Bylaws
These bylaws may be amended at any Annual Meeting of the Section provided the amendment is approved by a vote of at least two-thirds of
the members in attendance and that the notice of proposed bylaw changes be provided to the members at least two weeks prior to the
Annual Meeting.
