BY-LAWS
1. One FLAME meeting of the academic year shall include the annual business meeting. Other meetings may be held at the discretion of the Board. 2. The President and the Vice-President of FLAME shall be elected for a term of one year. The Secretary and Treasurer of FLAME shall be elected for a term of two years, and the election of the latter two officers will be staggered. Elections shall be held during the annual business meeting at least thirty days prior to which a Nominating Committee, chosen by the Board, shall present a slate of candidates. This slate shall be presented to the members at the annual meeting. Every attempt shall be made to obtain a Board that is representative of the various languages and levels of instruction represented by the membership of FLAME. Nominations may also be made from the floor. Voting shall be by ballot. The new officers shall assume office at the August FLAME Advisory Board meeting. 3. Vacancies occurring among the officers, other than the President, may be filled by the Board for the interim preceding the next election. 4. The President shall preside at meetings of the Association and of the Board and shall be charged with carrying out the policies and programs established by the Board. Meetings of the Board may be called at the President's discretion. The Vice-President shall fulfill the functions of the President in his absence and shall succeed to his office in the event of his incapacity or resignation. Furthermore, the Vice-President shall succeed the President for a one-year term. The Secretary and the Treasurer shall have the duties usually belonging to those offices. The financial records may be audited by a subcommittee of the Board before the annual business meeting. 5. The annual dues shall be payable to the treasurer. The membership year is from Sept 1 to August 31. 6. Membership shall be of three types as follows: Regular membership--Any foreign language teacher or other person interested in promoting foreign languages may, upon payment of dues, become a member, and shall be entitled to all the rights and privileges of a regular member. Junior membership--Any college or university student may, upon payment of dues, become a junior member for no more than three consecutive years. Junior members may not vote, hold office or be Board members. Emeritus membership--Any person who has retired and has been an active member of FLAME for ten consecutive years shall continue as a member with all rights and privileges and shall be exempt from payment of dues. 7. FLAME may be dissolved at any business meeting by a two-thirds vote of those present, provided that notice has been mailed to the members at least thirty days prior to the meeting. In the event of dissolution, any assets of FLAME remaining after the payment of all just debts and obligations shall be used to further the aims and purposes of FLAME in accordance with IRS regulations. 8. The by-laws may be amended by majority vote of the general membership present at any regularly scheduled meeting. The FLAME Board must approve a proposed amendment and must publish it at least 30 days before the vote.
